Terms of Service

1. Agreement to Terms

By downloading, installing, or using VoicePrivate ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

VoicePrivate is operated by Voice Private Inc ("we," "us," or "our").

2. Description of Service

VoicePrivate is a desktop voice-to-text application for macOS that runs entirely on your device. The Software uses on-device AI models to transcribe speech to text without transmitting audio or transcription data to external servers.

Key characteristics:

  • All voice processing occurs locally on your device
  • No audio data is transmitted to any server
  • Transcription data is stored locally and never uploaded
  • Internet connection is required only for license validation and initial model downloads

3. License and Access

Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software on devices you own or control, subject to these Terms.

You may:

  • Install and use the Software on your personal devices
  • Use the Software for personal or commercial purposes
  • Create and retain transcriptions for any lawful purpose

You may not:

  • Reverse engineer, decompile, or disassemble the Software
  • Redistribute, sublicense, or resell the Software
  • Remove or modify any proprietary notices or labels
  • Use the Software for any unlawful purpose

4. Subscriptions and Payments

VoicePrivate is offered as an annual subscription. Payments are processed securely through Stripe.

Subscription terms:

  • Subscriptions are billed annually
  • Subscriptions automatically renew unless cancelled before the renewal date
  • You can cancel your subscription at any time from your account settings
  • Cancellation takes effect at the end of the current billing period
  • Prices may change with 30 days' notice before your next renewal

5. Free Trial

We may offer a free trial period. During the trial, you have full access to the Software's features. At the end of the trial, you will need to purchase a subscription to continue using the Software. We will not charge you without your explicit consent.

6. Intellectual Property

The Software, including its code, design, AI models, and documentation, is owned by Voice Private Inc and protected by copyright and intellectual property laws.

Our proprietary code, interface, and integrations are protected by copyright and intellectual property laws.

You retain full ownership of all content you create using the Software, including all transcriptions and text output.

7. Your Data

VoicePrivate is architected so that your audio and transcription data never leaves your device. We have no access to your content and cannot retrieve, review, or share it. For full details, see our Privacy Policy.

8. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, or that transcriptions will be 100% accurate. Transcription accuracy depends on factors including audio quality, accent, background noise, and the AI model selected.

9. Limitation of Liability

To the maximum extent permitted by law, Voice Private Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Software.

Our total liability for any claim arising from or related to these Terms or the Software shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your access to the Software if you violate these Terms. You may terminate your use at any time by uninstalling the Software and cancelling your subscription.

Upon termination, your license to use the Software ends. Your locally stored transcriptions remain on your device and are unaffected.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Software after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
