Business dictation software turns what you say into text in a board minute, a due diligence memo, a disclosure schedule note or a client letter. VoicePrivate Legal Edition does it on your own Mac or Windows PC: press the hotkey, speak, press it again, and the text is pasted at your cursor. Its legal dictionary includes terms such as close corporation and squeeze-out merger, so the words of a deal come out spelled right. It is software you run yourself, not a business transcription service that sends your audio to typists.

What business and corporate lawyers dictate with VoicePrivate
Corporate work is mostly drafting and redrafting, and a lot of it starts as a lawyer talking through a deal. These are the documents business lawyers dictate in VoicePrivate:
- Board and committee minutes. Who attended, what was presented, the resolutions adopted and how each director voted, written up the same day.
- Due diligence memos. Findings from the data room by category: corporate records, material contracts, indemnification provisions, litigation and change of control triggers.
- Deal and term sheet notes. The points agreed on a call, the open issues and who owes the next draft of the purchase agreement.
- Client letters. Entity choice for a new business, what corporate formalities the owners need to keep, and what a closing means for them.
- Disclosure schedule and closing checklist notes. Exceptions to the representations, consents still needed and the documents each side delivers at closing.
Board and stockholder meetings: the Delaware rules VoicePrivate users dictate around
Most of the meeting work in a business practice runs on the corporate statute, and Delaware's General Corporation Law is the one many corporations are formed under. VoicePrivate does not know your deadlines; you dictate them. These are the ones the statute sets:
- Notice of a stockholder meeting. Under 8 Del. C. § 222(b), notice goes out not less than 10 nor more than 60 days before the meeting, unless the chapter provides otherwise.
- A missed annual meeting. Under § 211(c), if the annual meeting is not held for 30 days after its designated date, or for 13 months when no date was designated, the Court of Chancery may order one on the application of any stockholder or director.
- A merger vote. When § 251(c) requires a stockholder vote, the agreement goes to an annual or special meeting with at least 20 days' notice and generally needs a majority of the outstanding stock entitled to vote. Under § 251(f), a surviving corporation may not need its stockholders to vote if the statutory conditions are met.
- Dissenting stockholders. Section 262 allows appraisal only for eligible shares and transactions. Some shares, including certain exchange-listed shares, are excluded unless a statutory exception applies. A stockholder with appraisal rights must also meet the vote, demand and holding conditions before seeking a fair value determination in the Court of Chancery.
Other states have their own statute and their own numbers, so check the law of the state of incorporation before you rely on any of these. The VoicePrivate dictionary already knows shareholder meeting, dissenting shareholder and squeeze-out merger, which is most of what you say when you dictate around these rules.
Worked example: board minutes with the VoicePrivate Meeting Notes template
- The board of Harbor Lane Foods, Inc. met on Thursday, October 22, 2026 to approve an acquisition and call a special meeting of stockholders. In VoicePrivate, click Templates, then Meeting Notes. The Legal Edition has it alongside Client Intake and Deposition Summary.
- Click the microphone next to Attendees and say: "Directors present colon Ana Ruiz comma Tom Bell and Priya Shah period Counsel present colon Lena Ortiz period" Click it again to stop.
- Under Agenda/Topics, say: "Proposed acquisition of Coastline Bakery LLC for 4 point 2 million dollars period Due diligence report from counsel period"
- Under Decisions, say: "The board adopted a corporate resolution approving the merger agreement 3 to 0 and calling a special meeting of stockholders for Friday comma December 18 comma 2026 period"
- Under Action Items, say: "Counsel to circulate notice to stockholders period Officers to collect third party consents period" Then click Assemble Document, edit if you need to, and click Paste to App to put the minutes into Word.
- Work out the notice dates yourself. This example assumes the merger requires a stockholder vote under § 251(c); § 251(f) can remove that requirement for a surviving corporation. For a meeting on Friday, December 18, 2026, the 20-day notice rule in § 251(c) means notice by Saturday, November 28, 2026. The 60-day outer limit in § 222(b) means not before Monday, October 19, 2026. Confirm both against the bylaws and the statute before the notice goes out.
The Legal Edition starts with automatic punctuation off, so you say "colon", "comma" and "period" yourself. Turn it on in Settings, then Transcription, if you would rather have it added. For a deal memo, click New template and build your own, for example "Diligence Memo" with sections for Corporate Records, Material Contracts and Open Issues. The company names and facts in this example are made up.

Source: src/data/legal-dictionary.json in the VoicePrivate app source. A count in October 2026 found 185 terms whose term field contains at least one of these whole words or phrases: corporation, corporate, shareholder, merger, acquisition, indemnification, fiduciary, bylaws, due diligence or warranty. The match ignores case; alternatives were not counted. Some matching terms also appear in other practice areas.
The client, the target company, the officers and the deal code name are the part no dictionary can know. Add them to your Personal Dictionary, or use Terms from your documents: VoicePrivate reads a deal folder on your computer (up to 500 files, 25 MB each, including PDFs and Word files) and lists the names it finds, so you can tick the ones to keep.
Business transcription and corporate transcription: services vs VoicePrivate
Search for business transcription or corporate transcription and most results are services: you upload a recording of a meeting, an earnings call or an interview, and people or a vendor's servers turn it into a transcript. VoicePrivate is not a transcription service. It is software that transcribes an audio file you already have, on your own computer. Import a WAV, MP3, M4A, FLAC, OGG or AAC file (WMA too on Windows). For a recorded board meeting or a client call with several people, turn on Speaker labels and set Number of speakers from 2 to 6; the turns come out as Speaker 1, Speaker 2 and so on, and you replace the numbers with names. VoicePrivate never records a meeting or a call on its own, so whether a conversation is recorded stays your decision. Olympus and Philips DSS or DS2 recorder files need saving as WAV or MP3 in the recorder's own software first.
A service makes sense when you want a finished, checked transcript of hours of audio without reading it yourself. VoicePrivate makes sense when you would rather the recording never leave your computer and you are happy to read and correct the draft.
Business dictation software if you are not a lawyer
Not every business dictation search comes from a law firm. If you are a founder, a consultant, an accountant or an office manager, the VoicePrivate Legal Edition's 12,000+ legal terms are more than you need. The VoicePrivate General Edition is $84 a year on the VoicePrivate pricing page, with the same on-device recognition, Personal Dictionary, Email Draft and Meeting Notes templates. Financial advisors have their own VoicePrivate Finance Edition at $197 a year.
VoicePrivate for corporate law teams
A corporate group or a small business firm can buy VoicePrivate Legal Team at $222 per seat per year for 2 to 20 seats, billed at purchase. Team plans and renewals are not covered by the 30-day money-back guarantee, which applies to individual monthly and annual plans only. Each lawyer runs the app on their own Mac or Windows PC, so recognition does not depend on a shared server.
Before your team dictates client information into any tool, ask the same questions of each one. Where is the audio processed? Is it kept, and for how long? Does the vendor see the text? Who at your firm decides where the finished documents are stored? For VoicePrivate, the first three answers are: on the lawyer's own computer, not sent to a server for transcription, and no. The fourth is your firm's call, as it is with every tool.
Where VoicePrivate puts business law text
VoicePrivate pastes at the cursor, so the text goes into Word, Outlook, a board portal in the browser, or the matter notes in Clio, MyCase or another browser based system. It does not connect to those accounts or to a data room, and it does not file anything with a secretary of state by itself. The built-in /datenote shortcut puts a dated matter header with blanks for the matter, client and timekeeper at the top of a file note, and /billentry adds a time entry line.
On-device recognition for deal files
Business and corporate files carry unannounced transactions, valuations, cap tables and the names of people on both sides of a deal. With VoicePrivate, speech is recognized on your own computer. The audio is not sent to a server and there is no cloud transmission of the dictation. Your firm still decides where drafts, minutes and diligence memos are stored and who can open them.
Who VoicePrivate is not for in business and corporate practice
- Teams that want a bot to join and record calls. VoicePrivate never joins or records calls; a meeting notetaker does that, see VoicePrivate vs Otter.ai.
- Anyone who wants a finished transcript without reading it. VoicePrivate gives you a draft to check; a human business transcription service returns a reviewed transcript for a fee.
- Lawyers who want words on screen while they talk. VoicePrivate pastes the text when you stop; there is no live typing.
VoicePrivate Legal Edition covers every practice area with one dictionary; see legal dictation software for every practice area for the others. Commercial property deals share the diligence vocabulary covered in real estate dictation for title memos and closing letters, and deals that end in court run into motions and depositions, which litigation dictation software covers.
